Vince Kendrick retired from the partnership in 2019. He primarily helped U.S. energy clients in strategic and capital-raising transactions. He advised public and private companies and private equity funds in initial public offerings (IPO) and other public and private equity and debt offerings. Additionally, Vince counseled clients in strategic transactions and provided advice to boards of directors, board committees and controlling stockholders regarding corporate governance and Securities and Exchange Commission compliance.

Vince had particularly deep experience in the rapidly changing MLP industry, advising on the formation, financing, governance, transactions and restructuring of these entities.

He has advised sponsors and conflicts committees in more numerous “dropdown” transactions. Vince has also advised sponsor and MLP clients in highly complicated MLP conflict transactions, including:

  • MLP mergers
  • MLP recapitalizations
  • Incentive Distribution Rights (IDR) restructurings
  • MLP-sponsor joint ventures and joint bid situations
  • GP “tuck-in” transactions.

Vince also has represented clients in numerous nonenergy-sector transactions, including consummating mergers and acquisitions in the metals services and scrap, hospitality, real estate investment trusts, banking, technology, software security and personnel services industries. He has assisted clients in acquiring, financing and selling aircraft and thoroughbred horses, and in structuring commercial lending and other financing transactions.

Prior to joining Akin, Vince held various business, financial and accounting officer positions with a large privately held energy company and was a manager with PricewaterhouseCoopers, L.L.P.

Representative Work
  • Represented independent committees of numerous unrelated public companies in more than $7 billion of transactions with affiliates and other interested parties. Also represented sponsors, MLPs and management teams in numerous transactions with affiliates and other interested parties that have formed independent committees.
  • Advised several management teams in connection with starting public and private companies funded by private equity firms, including corporate governance and long-term equity compensation matters.
  • Represented a public company in its acquisition and related financings of the largest producer in the world of natural soda ash for $1.3 billion.
  • Represented a public company in the transformational acquisition and related financings of the offshore pipeline segment of a large publicly traded MLP for $1.2 billion.
  • Represented a large publicly traded partnership (PTP) in the first-ever buyout of incentive distribution rights (IDR) through the $734 million acquisition of its public sponsor/general partner via a merger.
  • Counseled an MLP in the “first-ever” merger of two public MLPs in an approximately $14 billion transaction.
  • Assisted a private portfolio company of a large private equity firm in the $185 million acquisition of a diverse package of oil and gas properties.
  • Represented a large MLP in the “buyout” of its IDRs through the $1.3 billion acquisition of its public general partner via a merger.
  • Represented a variety of public and private companies in countless public and private offerings of public and private offerings of billions of dollars of equity and debt securities.
