Akin Gump Advises Conflicts Committee of Regency Energy Partners in $18 Billion Merger with Energy Transfer Partners

(Houston) – Akin Gump advised the conflicts committee of Regency Energy Partners LP in the company’s definitive merger agreement with Energy Transfer Partners, L.P.
The merger, which is expected to close in the second quarter, will be a unit-for-unit transaction, plus a one-time cash payment to Regency unit holders, that collectively implies a value for Regency of approximately $18.0 billion, including the assumption of net debt and other liabilities of $6.8 billion.
Oil and gas partners Christine LaFollette, who serves as partner in charge of the Houston office, and John Goodgame led the deal team from Akin Gump. They were joined by tax partner W. Thomas Weir and oil and gas associate Christopher Centrich.
On January 30, this deal was selected by Texas Lawyer as its Deal of the Week. This is the second straight week in which Akin Gump has been part of a deal to receive this honor. On January 23, the publication selected a deal in which the firm represented Marlin Midstream Partners in an expansion and change of control transaction.
