Law360 has published the article “Major Trouble In Del. Minority Buyouts” by Akin Gump’s Daniel Fisher, partner in the firm’s corporate practice, Iain Wood, counsel, and Nicholas Houpt, associate.

The article, which originated as a blog posting on AG Deal Diary, addresses the issues involved with buying out minority stockholders and “the resulting fiduciary duties a controlling stockholder may owe to the minority.” A recent case in Delaware, as the authors note, “provides a vivid reminder of what can go wrong when a majority stockholder attempts to buy out the minority.”
