Ed Rubinoff Talks to Law360 on Smithfield Purchase by Chinese Company

Akin Gump international trade partner Ed Rubinoff was quoted by Law360 for its article “Smithfield's Chinese Deal Likely To Survive US Scrutiny” on the possibility that the purchase of this U.S. food company by China’s largest pork producer could face intense U.S. government review.
Rubinoff noted that the parties’ voluntary filing with the Committee on Foreign Investment in the U.S. (CFIUS), which reviews transactions from a national security viewpoint, is not uncommon. Noting problems encountered by Ralls Corp., which did not alert CFIUS to a wind farm deal, and the CFIUS clearance sought by Dalian Wanda Group for its uncontroversial purchase of the AMC movie theater network, he added, “[Filing] can be a reaction to a perceived heightened level of sensitivity. Even when you think a transaction is unlikely to raise any concerns, you can undergo the review, check that box and move on.”
