The Harvard Law School Forum on Corporate Governance has published “2020 Key Executive Compensation and Employee Benefits Considerations,” an article by Akin Gump tax partner Aimee Adler, and executive compensation partners Bruce Simonetti, Robin Schachter and Rolf Zaiss and senior counsel Michael Gerald.

The article, which first appeared as an Akin Gump client alert, provides a summary of certain issues for companies, boards and compensation committees to consider or be aware of “as they begin to approach year-end compensation decisions and a review of compensation levels and existing and new awards and programs.”

The issues cited in the article include:

  • Performance goals and metrics
  • Equity plan share reserves/annual equity grants
  • Compensation/benefits reductions/restructuring
  • Nonqualified deferred compensation
  • Variable hour employee benefits eligibility
