Thomson Reuters Practical Law has published the article “Private acquisitions in the United States: market analysis overview,” written by Akin Gump corporate partner Eric Williams. The article gives an overview of some key issues currently affecting the U.S. M&A market.

Williams first provides an overview of major trends and discusses how the level of private M&A activity has been affected by the COVID-19 outbreak. He then takes a closer look at the structuring of private M&A transactions, as well as the terms and documentation of those transactions and how those deals are conducted.

The article concludes with a forecast of what factors may affect the M&A market in the coming year. Williams writes that an uptick in activity should be expected, due to “the tremendous amount of dry powder financial sponsors and corporations are eager to deploy, coupled with financial information for the lockdown period becoming available and a sense of a ‘new normal.’”
