Akin Gump cross-border transactions partner Robert Aulsebrook, counsel Inderveer Hothi and associate Herman Park have written the book chapter “Lending and taking security in the UK (England and Wales): overview” for Practical Law’s Finance Global Guide 2019.

The chapter provides an overview of the lending market, looking at some of the main trends and important developments over the past year, with the authors noting that the uncertainty surrounding Brexit has had a particular impact. It also examines different forms of security over assets as well as the use of special purpose vehicles in secured lending.

A discussion of risk areas for lenders includes a look at whether any laws affect the validity of a loan, security or guarantee. The article also dissects the various methods of loan subordination.

Looking ahead, the authors note there are two “significant reforms being considered by the UK government with consequences for borrowers and lenders alike.”
