Akin Gump Advises Landmark Infrastructure Partners Conflicts Committee in 10th Drop-Down Acquisition

(Houston) – Landmark Infrastructure Partners LP (the “Partnership”) announced it has acquired 59 tenant sites located in 21 states from its sponsor, Landmark Dividend LLC (Landmark), for total consideration of $24.4 million. This acquisition is expected to be immediately accretive to the Partnership’s distributable cash flow. Akin Gump served as legal advisor to the conflicts committee of the Partnership’s board of directors. This is the 10th drop-down acquisition in which Akin Gump has served as legal advisor to the conflicts committee.
The acquired sites include 37 wireless communication sites, four outdoor advertising sites and 18 renewable power generation sites.
Christine LaFollette, a partner in Akin Gump’s oil and gas practice and partner in charge of its Houston office, led the team advising the committee. She was joined by oil and gas associate Heather Ashour, tax partner Alison Chen and real estate staff attorney Stuart Graves.
