Akin Gump Advises Spire Inc. in $344M Acquisition of Parent Company of Mobile Gas and Willmut Gas and Related Financings

(New York) – Spire Inc. has completed its acquisition of EnergySouth, Inc., the parent company of Mobile Gas and Willmut Gas, from Sempra U.S. Gas & Power. The purchase consideration of $344 million included the assumption of $67 million of debt. Akin Gump advised Spire, formerly known as Laclede Group Inc., in the acquisition and the related financings, which included a bridge facility, a $138 million registered equity offering in May and a $165 million private placement of unsecured senior notes that closed on September 9. The acquisition was first announced in April.
