Akin Gump Counsels Landmark’s Conflicts Committee in $66.4M Drop-Down Acquisition

(Houston) – An Akin Gump team led by Houston partner in charge Chris LaFollette advised the conflicts committee of the board of directors of Landmark Infrastructure Partners LP (“the Partnership”), which today announced that it has acquired 193 tenant sites located in 34 states from an affiliate of its sponsor, Landmark Dividend LLC. The consideration consisted of approximately 2.0 million Partnership units, valued at approximately $31.5 million, and approximately $34.9 million in cash, for total consideration of $66.4 million. This acquisition is expected to be immediately accretive to the Partnership's distributable cash flow.
In addition to Ms. LaFollette, the Akin Gump team included partner John Goodgame and associate Heather Ashour from the firm’s oil and gas practice/global energy transactions group; partners Thomas Weir and Alison Chen from the tax practice; partner David Quigley, senior counsel Charles Franklin and counsel Fredricka Dorroh from the environment and natural resources practice; and counsel Arsineh Baghdasarian, associates Daniel Shlomi and Alex Agahzadeh and staff attorney Stuart Graves of the real estate practice.
