Ashton Barrineau Butcher represents private equity firms, public and private companies and other strategic investors in a variety of corporate and M&A matters, including acquisitions, dispositions, auction processes, joint ventures, reorganizations and other general corporate matters. Ashton’s transaction experience covers a variety of industries, including convenience-retail, manufacturing, aggregates and ready-mix concrete, technology, health care, financial services, media, retail and hospitality.

Private Equity M&A

  • Advised Francisco Partners, a leading global investment firm that specializes in partnering with technology and technology-enabled businesses, on its growth investment and funding for the combination of legendary sheet music publisher Hal Leonard and Muse Group, an industry leader in music content and creation.
  • Represented a private equity fund in numerous acquisitions of aggregates mining companies across the United States.
  • Represented a private equity fund in its acquisition of an industrial components manufacturer.
  • Represented a private equity fund in its acquisition of a leading provider of wireless condition monitoring.
  • Represented a private equity fund in its acquisition of an indoor adventure park company.
  • Represented a private equity fund in its $151 million sale of LCI, a provider of risk insight, prediction and management solutions, to Verisk Analytics, Inc.
  • Represented a private equity fund in the acquisition of a distributor of fluid power and power train solutions.
  • Represented a private equity fund in its $85 million sale of Southern Tide, a lifestyle apparel brand, to Oxford Industries, Inc.
  • Represented a private equity fund in its acquisition of over 45 quick-service restaurant locations in Florida.

Strategic M&A

  • Represented 7-Eleven, Inc. in its approximately $1 billion acquisition of 204 stores from Sunoco LP, including customary adjustments for fuel and merchandise inventory.
  • Advised Armada Materials, a rapidly growing producer of aggregates, asphalt and other essential construction materials that is backed by Kelso & Company, in its acquisition of Volunteer Materials and its affiliated companies, including Volunteer Concrete, Volunteer Paving and Volunteer Sand and Gravel.
  • Advised Fluid System Components, Inc., a worldwide leader in the fluid power industry, in the acquisition of Norcan Fluid Power Ltd.
  • Advised Hydrotech, Inc., a leader in the fluid power industry, in the acquisition of Isaacs Fluid Power Equipment Company.
  • Advised Trinity Industries, Inc. in its acquisition of Holden America, a manufacturer of market-leading multilevel vehicle securement and protection systems, gravity-outlet gates and gate accessories for freight rail in North America.
  • Represented 7-Eleven, Inc. in its $21 billion acquisition of Speedway from Marathon Petroleum Corp., which is the largest transaction in the history of the convenience store industry and the largest-ever U.S. transaction in which Akin served as buy-side M&A counsel.
  • Represented New Fortress Energy, Inc. (NFE) in its $2 billion sale of 11 liquid natural gas infrastructure vessels to a newly formed joint venture between funds managed by Apollo Global Management Inc. and NFE.
  • Represented Trinity Industries, Inc. in its $375 million sale of its highway products business to Monomoy Capital Partners, an operationally focused middle market private equity fund.
  • Represented 7-Eleven, Inc. in its $3.3 billion acquisition of more than 1,100 gasoline and convenience store locations in 18 states from Sunoco LP.
  • Represented a large chain in the convenience retailing industry in its acquisition of 38 gasoline and convenience store locations.
  • Represented VCA, the nation’s largest animal care provider (which was publicly traded on the NASDAQ Global Market), in its sale to Mars, Incorporated, at $93 a share in a transaction valued at approximately $9.1 billion.
  • Represented U.S. Concrete, Inc. in numerous acquisitions throughout the United States.
