Biography
  • Handles syndicated loans, private equity financings, distressed loan transactions and debt restructurings.
  • Helps clients obtain loan terms favorable to maximizing market opportunities and expanding operations.
  • Has worked extensively on a number of transactions in Central and South America.

Carlos focuses his practice on corporate debt matters, with an emphasis on domestic and international lending, debt restructuring, syndicated loan purchases and sales, public financings and other finance transactions.

Carlos represents corporations, investment funds, banks, trustees and other financial institutions. He advises on secured and unsecured credit facilities, note purchase agreements, private placements and restructuring transactions.

In addition, Carlos represents trustees in connection with bond offerings and banks and investment funds in relation to the purchase and sale of syndicated loans.

Prior to attending law school, Carlos spent eight years as an officer and pilot in the U.S. Navy.

Representative Work
  • Advised a domestic energy company in obtaining a $350 million secured credit facility through its lending syndicate. The transaction allowed the client to expand its business by establishing an electrical grid subsidiary.
  • On behalf of a government service provider, negotiated and managed intercreditor issues with three separate creditors in an acquisition. The transaction allowed the company—which supplies perishables internationally to U.S. troops--to acquire a troop training business, doubling the client’s size.
  • For a cloud-based network management and security firm facing insolvency, negotiated the restructuring of the client’s credit facility and the intercreditor terms with the bondholders.
  • Represented an Argentine gaming company in connection with a $250 million note issuance through a Medium Term Note Programme.
  • Advised a media company in the restructuring of a $235 million secured credit facility.
