- Chloe advises clients on a variety of cross-border corporate transactions, including mergers and acquisitions (M&A), joint ventures and private equity / venture capital investments.
Chloe Chan advises hedge and private equity funds and other financial sponsors on structuring, acquiring and disposing of their investments across Europe and the Asia-Pacific region. She advises hedge funds on many high-profile shareholder activism strategies in Europe and across the Asia-Pacific region.
Chloe has prior experience in private M&A and private equity/venture capital investments, having represented investors and investee companies on different spectrums of the investment cycle, from small seed funding rounds through to multimillion dollar investments. She has also represented various funds on cross-border joint ventures, including establishing bespoke corporate joint venture structures.
- Representing Palliser Capital on:
- all aspects of its investment in and activist campaign related to FTSE 250 Capricorn Energy Plc, including all private and public correspondence with Capricorn, equity disclosure obligations and filings, Takeover Panel submissions and engagement, multi-jurisdictional transaction analysis in respect of the proposed takeover offer for Capricorn by Tullow Oil and the proposed merger, by way of a reverse takeover, with Israeli-listed NewMed Energy;
- its various international activist, equity and arbitrage investments.
- Representing Millennium Capital Management on multimillion dollar arbitrage investments across the US, the UK, Hong Kong, Mainland China, Japan, Singapore, Korea, and Australia.
- Representing numerous hedge funds on distressed special situations, credit and equity investments and mergers and acquisitions across Europe and Asia-Pacific, including acquisitions through pre-pack administrations and subsequent realization of those investments.
- Advising LOGOS Property Group on its divestment of US$410 million fund, Logos India Logistics Venture Pte. Ltd., to Canadian pension fund manager.
- Advising Chinese state-owned commercial bank on secondary sales of various international fund interests valued up to US$1.2bn.
