Biography

Associate (Admitted to practice in New York)

Emily is an associate in Akin’s corporate practice. She assists clients on an array of corporate matters, including mergers, acquisitions, corporate governance, securities offerings and finance transactions. She represents individuals and institutions in complex corporate transactions.

Prior to joining Akin as an associate, Emily was a law clerk for the Office of United States Senator Jon Ossoff. Previously, Emily was an intern in the Division of Enforcement for the Securities and Exchange Commission.

Representative Work
  • Advised Excelsior Energy Capital, a leading independent North American renewable energy investor, in the $1.3 billion financing package for the Faraday Solar project in Utah County.
  • Akin advised Mubadala Capital and its portfolio company Thrive Foods, a leading manufacturer of freeze-dried products, in its agreement to acquire Groneweg Group, otherwise known as Freeze-Dry Foods, a global manufacturer and supplier of freeze and air-dried ingredients.
  • Advised Paine Schwartz Partners, a private equity fund specialized in sustainable food chain investing, in its strategic growth investment in Elemental Enzymes, a leading developer of naturally occurring enzymes and biochemicals contributing to improved plant health, yield and profitability.
  • Advised Excelsior Energy Capital on its acquisition of Faraday Solar, a 682.5 MW ground-mounted solar facility in Utah County, Utah, from Parasol and Clenera.
  • Advised a leading owner and operator of movie theaters in a $250 million backstopped equity offering subject to preemptive rights.
  • Advised Fossil Group, Inc. on preparedness strategies in connection with its interactions with The Buxton Helmsley Group.
  • Advised Cevian on its investment in Smith & Nephew, a portfolio medical technology company.
  • Advised regarding Warrior Met Coal on its equipment lease financing of approx. $33 million of mine shields.
  • Advised Terran Orbital in connection with $100 million investment from Lockheed Martin.
