- Represents investment funds and private equity firm clients in civil litigation, including both manager and investor side disputes; portfolio company litigation; compliance advice; and regulatory investigations and enforcement proceedings.
- Advises investment managers and investors regarding GP/LP disputes and GP removals, disputes between principals and capital withdrawal and redemption issues; and counsels corporations and directors on securities, fiduciary and conflicts issues.
- Served as lead counsel on multibillion-dollar litigations, achieved multiple trial victories in federal and bankruptcy courts, and ran successful arbitrations and mediations.
Jackie leads the firm’s funds litigation initiative, a cross-practice group of lawyers representing clients from fund formation to maturity. The team provides investment funds, including hedge, sovereign wealth, and university and research endowment funds, as well as private equity firm clients, with compliance advice, representation in civil litigation and trials and guidance through regulatory investigations and proceedings.
Jackie regularly represents institutional clients, including investment funds, private equity firms and international banks, as well as individual clients, in U.S. and cross-border investigations. On behalf of her clients, Jackie has presented to various U.S. civil and criminal regulatory agencies, including the Securities and Exchange Commission (SEC) and the Department of Justice (DOJ). She also represents clients in investigations by Asian and European banking and commercial regulators.
Jackie consistently manages key client relationships on multibillion-dollar litigations in state and federal courts in New York, Delaware and other domestic and international jurisdictions. She has led multiple trial teams to victory, including in federal court in the Southern District of New York (S.D.N.Y.) and in U.S. Bankruptcy Court in Delaware. Jackie has also led successful arbitrations and mediations before the American Arbitration Association (AAA) and Judicial Arbitration and Mediation Services (JAMS).
Jackie represents clients in complex litigation related to:
- Limited partner/general partner disputes and general partner removals
- Disputes among fund principals
- Limited partner advisory committee (LPAC) representations
- Conflicts of interest and fiduciary issues
- Portfolio company investments
- Activist investments
- Shareholder class actions and derivative suits
- Federal securities actions, including Section 16(b) “short-swing profits” suits, as well as Section 10(b) and Section 11 claims
- Investment disputes in the cryptocurrency, blockchain and digital asset space
- Internal and regulatory investigations and enforcement issues
- Represented hedge fund client in various actions in both state and federal court arising from $150 million redemption dispute.
- Leading multiple hedge fund clients through various stages of litigation, including fact and expert discovery, summary judgment briefing, and pre-trial proceedings, in several cases brought by shareholder plaintiffs under Section 16(b) of the Securities Exchange Act seeking disgorgement of tens of millions of dollars in alleged “short swing” profits.
- Serving as pool counsel to over a dozen individual executive clients from global private equity firm in SEC investigation.
- Represented four investment fund clients— including university endowment fund, pension fund, insurance company and sovereign bank— in a $30 million dispute with a former general partner of various real estate private equity funds in two litigations in S.D.N.Y.
- Served as counsel to a government-appointed monitor in a two-plus year monitorship of a major European bank pursuant to a New York Department of Financial Services consent order regarding the bank’s Anti-Money Laundering rules and Bank Secrecy Act compliance programs.
