Jesse leverages his significant experience in special situations and capital markets matters to represent credit investors and distressed companies in complex recapitalization and refinancing transactions.
He regularly advises creditor groups, investment funds, companies and boards on:
- Exchange offers
- Tender offers
- Consent solicitations
- In- and out-of-court restructurings
- Rights offerings
- Exchange Act registration, reporting and deregistration
- Stock exchange listing and compliance
- Corporate governance matters
- Covenant analysis
In addition, Jesse represents issuers, investors and underwriters in connection with public offerings and private placements of equity and debt securities. He has particular experience in the telecommunications, government services, health care, public utility and energy industries.
- Advised GTT Communications, Inc., a managed network and security services provider, on its $4.5 billion business transformation and financial restructuring, including its prepackaged chapter 11 cases.
- Represented an ad hoc group of bondholders of GEO Group, a leading provider of correctional and community reentry services, on exchange transactions to comprehensively address $2.0 billion of near-term debt maturities.
- Counseled an ad hoc group of first lien creditors of Avaya, a major provider of communications and networking products and services, during the company’s Chapter 11 bankruptcy proceedings restructuring $2.6 billion of outstanding debt, including in connection with a backstopped $150 million debt rights offering.
- Advised Sorenson Holdings, LLC, the leading provider of communications products and services for the deaf and hard-of-hearing, in liability management and refinancing transactions, including a modified “Dutch Auction” tender offer, debt exchange transactions and the entry into new credit facilities.
