Jesse leverages his significant experience in special situations and capital markets matters to represent credit investors and distressed companies in complex recapitalization and refinancing transactions.

He regularly advises creditor groups, investment funds, companies and boards on:

  • Exchange offers
  • Tender offers
  • Consent solicitations
  • In- and out-of-court restructurings
  • Rights offerings
  • Exchange Act registration, reporting and deregistration
  • Stock exchange listing and compliance
  • Corporate governance matters
  • Covenant analysis

In addition, Jesse represents issuers, investors and underwriters in connection with public offerings and private placements of equity and debt securities. He has particular experience in the telecommunications, government services, health care, public utility and energy industries.

Representative Work
  • Advised GTT Communications, Inc., a managed network and security services provider, on its $4.5 billion business transformation and financial restructuring, including its prepackaged chapter 11 cases.
  • Represented an ad hoc group of bondholders of GEO Group, a leading provider of correctional and community reentry services, on exchange transactions to comprehensively address $2.0 billion of near-term debt maturities.
  • Counseled an ad hoc group of first lien creditors of Avaya, a major provider of communications and networking products and services, during the company’s Chapter 11 bankruptcy proceedings restructuring $2.6 billion of outstanding debt, including in connection with a backstopped $150 million debt rights offering.
  • Advised Sorenson Holdings, LLC, the leading provider of communications products and services for the deaf and hard-of-hearing, in liability management and refinancing transactions, including a modified “Dutch Auction” tender offer, debt exchange transactions and the entry into new credit facilities.
  • Represented Constellis, a risk management and government services provider, on comprehensive out-of-court exchanges and recapitalization transactions with a backup prepackaged plan of reorganization that reduced the company’s outstanding debt from $1.4 billion to $310 million while raising $50 million of new capital.
  • Advised DynCorp International, Inc., a global government services provider, on an exchange offer and consent solicitation as part of a comprehensive refinancing of outstanding secured and unsecured debt to extend maturities.
  • Represented issuers in initial public offerings and proposed initial public offerings.
  • Assisted public utilities in private placements of secured and unsecured debt securities.
  • Represented anchor investors in private placements of high-yield notes issued by a real estate development company.
  • Counseled creditors of Talos Energy, an oil and gas company that was focused on offshore exploration and production, in two significant debt restructuring transactions, including debt exchanges in connection with Talos Energy’s merger with Stone Energy Corporation.
  • Assisted Consonance Capital, a health care investment firm, as sole investor in a registered direct offering of shares of common stock of Verastem, Inc., a biopharmaceutical company.
  • Advised an ad hoc group of noteholders of Digicel Group Limited, a mobile communications provider in emerging markets, on exchange offers and consent solicitations to extend maturities.
