Biography
  • Concentrates practice on corporate, M&A and private equity transactions.

Jing Ng advises private equity funds and multinational corporations on mergers and acquisitions (M&As), takeovers, joint ventures, cross-border transactions and general corporate and commercial matters in a variety of sectors.

Representative Work
  • Advised Helios Investment Partners on the exit of its investment in Solevo (an African-focussed fertilisers and inputs business), having previously advised on its initial investment in Solevo.
  • Advised an ad hoc group of bondholders in relation to the financial restructuring and chapter 11 case of offshore drilling contractor Seadrill New Finance Limited and its outstanding note liabilities of approximately $620 million.
  • Advised the majority holder of bondholders in relation to the financial restructuring of the Polarcus Group, a marine seismic exploration business.
  • Advised Vitol Group in connection with its and IFM’s purchase of 50% of VTTI B.V., the leading global independent provider of energy storage and terminals business, from Buckeye Partners L.P. for $975 million.
  • Advised Vitol Group in connection with its and IFM’s sale of 10% of VTTI B.V. to the Abu Dhabi National Oil Company.
  • Advised Vivo Energy plc in connection with its strategic acquisition of ENGEN’s downstream business in nine countries in Africa in a share and cash transaction; the transaction expanded Vivo Energy’s retail service station network from 15 to 23 countries in Africa.
  • Advised VLC Energy, a joint venture between VPI Immingham (a Vitol portfolio company) and Low Carbon Limited, on its sale of two operational battery storage facilities totalling 50 megawatt (MW) to Gresham House Energy Storage Fund.
  • Advised Vitol Group and Helios Investment Partners in Vivo Energy’s initial public offering on the London Stock Exchange (LSE) and Johannesburg Stock Exchange, with a valuation of approximately £2 billion.
  • Advised New York Stock Exchange (NYSE)-listed packaging producer on its recommended offer to acquire all of the outstanding shares of an LSE-listed packaging company valued at $8.4 billion and on the divestment of select metal beverage can assets, support locations and functions globally for approximately $3.42 billion.
  • Advised Fortune Dynasty, a joint venture part owned by the Vitol Group, in its up to $606 million recommended acquisition of Fortune Oil, a China-focused oil and gas storage company.
  • Advised a Nasdaq-listed global travel operator in its £1.4 billion acquisition of a leading global travel search site business.
  • Advised an NYSE-listed company in its £420 million acquisition of a premium hair appliances and products business from a private equity firm.
  • Advised Ares Life Sciences/Waypoint Capital in connection with the cross-border merger of French listed Stallergenes S.A. with its business partner Greer Laboratories.
  • Advised Vitol Group and Helios Investment Partners in relation to their $250 million buyout of Shell’s 20 percent stake in Vivo Energy, the company behind the Shell brand in Africa, while also acting for Vivo Energy in relation to the long-term extension of its brand license agreements relating to its use of the Shell brand in Africa.
