Biography
  • Advises on a broad array of complex direct lending and special situations financing transactions.
  • Experience structuring a range of fund financings including NAV facilities.
  • Represents financial institutions, noteholders and bondholders.

Kevin represents financial institutions, noteholders and bondholders in a broad range of finance matters, including fund financing (subscription line facilities, net asset value (NAV) facilities and hybrid facilities), special situations, restructuring, structured finance, receivables financing, private placements and real estate finance, and regularly advises on complex cross-border transactions.

Kevin has worked across a number of sectors, including private credit, data centers, financial services including fintech, renewables and real estate.

Representative Work
  • Advised U.S. hyper scale data center provider in connection with a $1 billion DevCo revolving credit agreement for the purpose of developing and subsequently leasing out a number of data centers across the U.S.
  • Advised leading edge data center in connection with $900 million DevCo revolving credit facility. 
  • Advised U.S. based data center in connection with a $500 million pan-European DevCo revolving credit facility. 
  • Advised a private credit fund in connection with a $200 million subscription line facility agreement.
  • Advised a U.K. based institutional investor in connection with various structured finance transactions, including ground rent securitizations and commercial loan securitizations.
  • Advised a global private markets firm in connection with a $300 million NAV-based facility agreement.
  • Advised a U.S. based investment manager in connection with a £100 million term loan facility and £50 million variable funding notes facility made available to a U.K. based litigation and dispute funding provider.
  • Advised private placement investors in connection with both agented and bilateral transactions; acting for a range of U.S. and U.K. based institutional investors in connection with secured and unsecured issuances by various U.K. and European entities, including U.K. and foreign corporates, family offices, schools, universities and housing associations.
  • Advised a U.K. based institutional investor in connection with senior and mezzanine finance direct lending transactions.
  • Advised a U.S. distressed debt fund in connection with various bespoke cross-border financing arrangements within broader complex corporate and tax structures, including listing of notes on The International Stock Exchange (TISE), advising on mortgage portfolio acquisitions, repurchase agreements and financing and acquisition of a Spanish insurance business.
  • Advised a Spanish fintech lender on the structuring and issuance of notes secured by Spanish consumer loans.
  • Advised U.K. based insurer in connection with the securitization of receivables originated from the sale of telecom minutes.
  • Advised a global private markets firm in connection with a $400 million secured umbrella NAV-based facility agreement.
  • Advised junior noteholders (U.K. based institutional investors) in relation to the purchase of notes issued in connection with a $600 million note issuance by a special purpose vehicle (SPV) issuer secured on assets managed by a private credit fund manager.
  • Advised private placement investors in connection with various whole business securitizations; Peel Ports Group, Thames Water, Yorkshire Water, North West Electricity Networks, Elenia and Arqiva.
  • Advised bondholders of Breeze Finance with the restructuring of a securitization transaction backed by revenues generated by wind farms.
  • Advised Luxembourg based funds in connection with the issue of listed variable funding notes.
  • Advised a U.K. based alternatives asset manager in connection with the establishment of an Irish designated activity company and various related financing arrangements.
  • Advised private placement noteholders in connection with defaults under facilities to U.K. corporates, liquidity financing arrangements and intercreditor arrangements.
  • Advised U.K. based real estate investment firm in connection with a secured term loan facility.
  • Advised the lenders in connection with the £850 million refinancing of a development site in London.
  • Advised ad hoc senior creditors in connection with the restructuring of Noble.
  • Advised administrators of Afren plc in connection with the administration of Afren plc.
  • Advised an ad hoc group of senior creditors on the restructuring of the collapsed Icelandic bank Kaupthing.
  • Advised a family office in connection with a margin loan.
