Biography
  • Advises on domestic and cross-border matters with a particular focus on private equity deals, mergers & acquisitions, joint ventures and other complex corporate and commercial transactions.
  • Represents clients across sectors, including financial services, private equity, technology, fintech, artificial intelligence & machine learning, cryptocurrency, energy & infrastructure, health care & life sciences and aviation, space & defense.
  • Based in the United Arab Emirates and fluent in Arabic.

Mazen provides comprehensive advice on a wide array of corporate and commercial transactions on both the debt and equity sides. His clients include leading sovereign wealth funds, private equity firms, holding companies, international private companies, government-owned entities, investment authorities and other investors and corporates.

Mazen advises on matters spanning sectors, including financial services, private equity, technology, fintech, artificial intelligence (AI) & machine learning, digital assets, energy & infrastructure, health care & life sciences and aviation, space & defense. With a global practice, Mazen is based in the United Arab Emirates (UAE) and fluent in Arabic. He routinely represents clients on international and cross-border deals involving the Middle East, United Kingdom, Europe and Africa.

Drawing on his significant corporate experience and a great depth of practice, Mazen represents clients in the following areas:

  • Mergers & Acquisitions (M&A)—counsels multinational corporations, government entities and sovereign wealth funds in executing intricate domestic and cross-border transactions, ensuring seamless integrations and value creation.
  • Joint Ventures (JVs)—aids clients in structuring and documenting JV arrangements, fostering successful partnerships and mitigating potential risks.
  • Technology—offers guidance on a diverse range of technology and technology-related transactions and contracts, including Software as a Service (SaaS), license framework agreements and digital asset projects involving cryptocurrency and AI.
  • Energy & Infrastructure—steers clients through every stage of energy & infrastructure projects, including in the development, encompassing planning, installation, operation, maintenance and repair, while addressing legal and regulatory challenges. Represents clients in oil & gas, renewable energy, liquefied natural gas (LNG) and other power and energy transition matters. 
  • Investment Management & Private Equity—navigates international and domestic firms through the UAE’s financial regulatory landscape, supports clients in establishing and launching funds, and represents clients in limited partner (LP)-side investments, co-investments, direct investments and other strategic capital investments.

In addition, Mazen advises on general corporate matters across industries. Clients rely on Mazen as a strategic advisor, key player and experienced dealmaker. He guides clients through complex transactions while delivering bespoke solutions and providing tailored advice on not only legal, but broader commercial issues.

Representative Work
  • Represented a large Russian-based oil company in its acquisition of a 5 percent stake (valued over $1 billion) in an ultra-sour gas concession from a national oil company.
  • Advised a consortium of private equity firms that specialize in the acquisition and development of power generation assets with a focus on renewable power on the purchase of a 75 percent equity interest in an Ontario project owned by a global energy company.
  • Assisted an Abu Dhabi governmental department in their design and build of a resort located in the UNESCO World Heritage site of Jabel Hafit.
  • Advised one of the UAE’s most financially substantial sovereign holding entities in a number of its share acquisitions ranging from $60 million to $300 million.
  • Advised one of the UAE’s largest defense conglomerates on its acquisition of a 40 percent stake in a UAE-based military maintenance company from some of the largest U.S. defense contractors.
  • Advised one of the UAE’s most financially substantial sovereign holding entities in its investment into India’s largest vaccine manufacturers.
  • Advised a Middle East government on the creation of a $20 billion joint investment platform, the purpose of which is to identify and execute joint investment opportunities in strategic social and economic sectors.
  • Represented one of the UAE’s most financially substantial sovereign holding entities in its establishment of a joint venture with one of Europe’s most successful low-cost airline carriers to bring the carrier to Abu Dhabi.
  • Advised a UAE government entity responsible for the administration and management of public health laws, policy and facilities, in the privatization of its procurement activities.
  • Advised a large Canadian pension fund on its proposed acquisition of certain wind farms in Ontario with a value of over C$300 million.
  • Assisted a team advising Griffon Corporation in their acquisition of ClosetMaid Corporation, a market leader of home storage and organization products, from Emerson Electric Co. for C$260 million.
  • Advised InstarAGF Asset Management Inc., a private equity fund, in acquiring a majority equity ownership interest in Skyservice Investments Inc., a business aviation service, for C$110 million.
  • Advised Stelco Holdings Inc. on its initial public offering by way of share issuance on the Toronto Stock Exchange.
  • Advised a number of the world’s largest asset managers in establishing and growing a financial services presence in the UAE, including advising on UAE securities laws.
  • Advised a large Saudi-based government client on various corporate and commercial agreements related to the establishment and growth of a financial free zone.
  • Assisted a team advising a major nuclear energy generator in the issuance of two new series of senior unsecured notes in the aggregate amount of C$750 million.
