- Assists private equity funds and companies with a wide range of corporate transactions and corporate governance matters.
- Represents clients with private and public mergers and acquisitions in the energy, technology and industrial sectors.
Michael advises clients in connection with mergers and acquisitions, capital markets, restructuring matters, debt financing and private equity transactions. Michael’s experience includes counseling on acquiring and divesting energy projects, in both the traditional and renewable energy spaces, assisting with complex joint ventures and advising on U.S. Securities and Exchange Commission (SEC) compliance matters. Additionally, Michael advises on private credit matters, alternative financing transactions and other special situation transactions.
While in law school, Michael served as the managing online content editor for Volume 97 of the Texas Law Review, assisted with diversity and inclusion efforts as a member of the outreach committee and helped draft the 14th Edition of the Texas Rules of Form.
- Represented a project developer on the formation of a joint venture with a global trading firm to pursue the development of peaking power plants, including through the Texas Energy Fund In-ERCOT Generation Loan program.
- Represented Tellurian in its definitive agreement to merge with Woodside Energy in an all-cash transaction valued at approximately $900 million.
- Advised Viper Energy Inc., a subsidiary of Diamondback Energy Inc., in its acquisition of mineral and royalty-interest owning subsidiaries of Tumbleweed Royalty IV, Tumbleweed-Q Royalty Partners and MC Tumbleweed Royalty.
- Advised Excelsior Energy Capital in the sale of solar energy and solar plus storage projects to BlackRock’s Evergreen Infrastructure Partners Fund.
- Counseled Invesco in its preferred equity investment in Franklin Energy, one of North America’s largest providers of tech-enabled sustainable energy management solutions and productions.
