Biography
  • Focuses her practice on renewable energy and infrastructure project finance transactions.

Michelle represents developers, financial institutions and other market participants in a wide range of renewable energy transactions. Her practice encompasses project development, acquisitions and debt and tax equity financings. She also assists clients with general corporate legal needs.

Michelle rejoined Akin after serving in an in-house role as associate general counsel of a leading independent North American renewable energy investor.

Representative Work
  • Represented SunPower Corporation in connection with the Hannon Armstrong “SunStrong Capital Holdings” joint venture, facilitating the deconsolidation and optimization of cash flows of SunPower’s entire residential solar lease portfolio, including multiple mezzanine loan facilities.
  • Represented a private equity infrastructure fund in connection with the negotiation of a $225-million net asset value (NAV) facility from a major bank for their sophomore fund. NAV facilities are private equity style loans raised by general partners. This is a novel facility for financing renewable energy.
  • Represented a community solar developer in connection with the negotiation and execution of a tax equity commitment, term-converting construction loan and tax-equity bridge loan with respect to a 55 MW portfolio of community solar and commercial & industrial (C&I) solar projects.
  • Represented a sponsor in its acquisition of the rights to a 235 MW pipeline of renewable energy assets with a leading provider of distributed energy resources.
  • Represented a private equity fund in the negotiation for tax equity and finance documents across from a debt and tax equity provider for a multistate portfolio of renewable energy projects.
  • Represented SunPower Corporation in the sale of its operations & maintenance (O&M) business to Clairvest Group Inc. The new O&M business will be named NovaSource Power Services.
  • Represented Amp, a global renewable energy infrastructure platform company, in connection with the financing of a 29.4 MW | 42 MWh Massachusetts Community Solar portfolio, valued at approximately $100 million.
