Ryan advises investors and issuers in a wide range of private and public structured equity and complex corporate transactions. His clients include credit, opportunities, private equity, growth and venture funds, family offices and other asset managers, who he partners with to provide creative and commercial solutions in an increasingly competitive environment.
Ryan also advises on distressed and other special situations, recapitalizations and restructurings, mergers and acquisitions (M&A) and hybrid transactions. He has extensive capital markets experience, including initial and secondary offerings of common, preferred and convertible securities, Rule 144A offerings, rights offerings and shelf registrations.
Ryan is active in his community and serves on the board of directors for the March of Dimes, Dallas/Fort Worth, TX.

- Represented Vista Credit Partners in the $223 million growth investment in Rocket Lawyer.
- Represented an investment fund in a $200 million preferred equity investment in an employment technology company.
- Represented a large investment fund in a $150 million growth equity investment in a technology company.
- Represented Turning Rock Partners, a private investment firm, in a $25 million investment to support SMC Infrastructure Partners' recapitalization of General Asphalt Co, LLC, a paving contractor.
- Represented Onex Credit, an investment management company, in an investment in Dynacast.
- Issuer Side Representations
- Represented FTAI Infrastructure Inc., a newly public spinoff of Fortress Transportation and Infrastructure Investors LLC, in a private placement of $300 million in preferred equity.
- Represented a provider of air and surface sanitization and circadian lighting and biological lighting products in venture and growth equity financings.
