Seth retired from the partnership in 2022 after over 40 years with the firm. His practice focused on complex securities and business transactions, including cross-border matters, for public and private companies.
Seth served as lead counsel on public equity and debt offerings, private placements, venture capital transactions and mergers and acquisitions. He advised on public offerings and private placements of equity and debt securities representing both issuers and underwriters in a wide range of industries, including energy, technology, health care, retail, entertainment and transportation. Seth handled over 25 initial public offerings and hundreds of debt, secondary, follow-on and rights offerings.
Seth also regularly led multibillion-dollar corporate mergers and asset purchase and sale transactions, primarily in the energy, technology, manufacturing and retail industries. He also advised on cross-border transactions involving companies in South America, Europe and Central Asia.
Securities Transactions
- Represented a financial services company in its offer and sale of $500 million aggregate principal amount of its 7.0% senior notes due 2026.
- Represented a midstream company in its $764.8 million initial public offering.
- Represented an exploration and production company in a $2.2 billion senior notes offering, comprised of $650 million 0.900% senior notes due 2023, $900 million 3.125% senior notes due 2031 and $650 million 4.400% senior notes due 2051.
- Represented a midstream company in a $500 million offering of 5.625% senior notes due 2025.
- Represented an exploration and production company in its tender offers for up to $800 million of senior notes and $1.6 billion in aggregate principal amount of senior notes issued by one of its wholly-owned subsidiaries.
