Tom is an associate in our financial restructuring group with experience representing private credit funds, noteholders, debtor companies, insolvency office holders and directors in relation to a range of restructuring scenarios, from consensual special situations refinancings to securitisation or fleet restructurings and schemes of arrangement to pre-pack administrations, in a range of sectors including aviation, shipping, telecommunications, real estate and retail.
- Garuda: Advised an ad hoc group of aircraft lessors in relation to the proposed restructuring of PT Garuda Indonesia (Persero) Tbk (Garuda), Indonesia’s flag carrier, in relation to a restructuring, including an Indonesian PKPU, which provided overall for the restructuring of approximately US$9.58 billion of bank, bond, lease and other indebtedness.
- Azzurri: Advised the secured senior lenders on the emergency financing of and subsequent sale of the Azzurri Restaurant Group (owner of brands including ASK Italian, Zizzi and Coco di Mama) by way of pre-pack administration to TowerBrook.
- Malaysia Airlines: Represented the ad hoc group of aircraft lessors in relation to the restructuring via an English scheme of arrangement of 52 English law-governed aircraft operating leases to Malaysia Aviation Group Berhad, operating entity of Malaysian flagship airline Malaysia Airlines.
- Steinhoff: Advised certain creditors of the Steinhoff International Holdings group in relation to the restructuring of that group by way of a series of quasi-consensual processes including English company voluntary arrangements, a South African scheme of arrangement and Dutch suspension of payments and WHOA proceedings.
- Ansett Aviation Training: Advised a consortium of Bain Capital Credit, Arcadia Capital and affiliates of the leadership team of Bridger Aerospace Group on the acquisition and recapitalisation of Aviation Training Holdings Pty Ltd, being the global operator of flight simulation training services Ansett Aviation Training.
- Canary Wharf Group: Advised Canary Wharf Group in opposing the European Medicines Agency’s appeal to the Court of Appeal against the High Court’s decision to reject the argument that a 25-year lease of premises in Canary Wharf entered into by the European Medicines Agency in 2014 would be legally “frustrated” as a result of Brexit.
- Hong Kong Airlines: Advised an ad hoc group of aircraft lessors in relation to Hong Kong Airlines’ restructuring of its obligations under certain leases, notes and secured obligations via parallel English and Hong Kong scheme of arrangements which, inter alia substituted those obligations for contingent value rights against newly created special purpose vehicles.
