- Concentrates on public and private mergers and acquisitions (M&A) and on the corporate aspects of restructuring transactions.
Tony Barnes’ practice focus centers on public and private M&A and equity and debt investments. He also handles matters involving corporate aspects of the structuring and implementation of cross-border and domestic financial restructurings.
Tony’s experience includes advising on several cross-border private and public M&A transactions, including the:
- Listing of OM Asset Management plc on the New York Stock Exchange
- Listing of TORM plc on Nasdaq Copenhagen
- First-ever listing of a U.S. Special Purpose Acquisition Corporation on the AIM market of the London Stock Exchange.
Tony has also advised on the corporate and equity aspects of various financial restructuring transactions, including:
- Financial Restructuring of Noble Group Limited, a listed commodities trader; and
- Financial Restructuring of Interserve plc, a UK listed support services and construction company.
He has also advised on various other public matters, including several other AIM listings, acting for both applicants and their nominated advisors.
Tony has also worked for various investment funds and private equity funds in connection with the acquisition and disposal of interests in various companies, in both an English and an international context.
- Advising Royalty Pharma plc on its $2.5 billion initial public offering and listing on the Nasdaq Global Select Market.
- Advising a US genetics company in connection with its acquisition of a leading UK genetics company.
- Advising an investment fund and management on the disposal of a UK and Irish home loans and mortgage provider.
- Advising on the corporate and equity aspects of the financial restructuring of Premier Oil plc.
- Advising a UK hedge fund in connection with the listing of a UK based financial services company and the subsequent block trade sale of its residual shareholding
