Alan’s practice encompasses debt offerings, secured lending, debt restructurings and other finance transactions. He represents issuers, underwriters, bondholders, private placement investors and trustees in connection with issuances of high-yield and investment-grade corporate debt securities in public offerings, Rule 144A and Regulation S offerings, private placements and restructuring transactions.
In addition, he represents borrowers and lenders in connection with senior secured credit facilities, second-lien and subordinated loans, and other finance transactions of all types and sizes. His experience with debt restructurings includes numerous restructurings of secured and unsecured debt securities and loans, both in and outside of bankruptcy. Alan’s experience spans a broad range of industries and includes domestic and foreign companies.
- Represented a domestic energy company in a $5.0 billion secured credit facility, multiple offerings of senior high-yield notes aggregating $2.5 billion, and multiple offerings of investment-grade notes aggregating over $8 billion.
- Acted for a leading international motion picture exhibitor in an $800 million secured credit facility and multiple offerings of senior, senior discount, and senior subordinated high-yield notes aggregating over $4.8 billion.
- Represented an international marketing company in a $4.6 billion unsecured credit facility, a €315 million secured credit facility, $3.3 billion of senior high-yield notes, €700 million of senior high-yield notes, and $1.1 billion of convertible notes.
- Assisted a technology provider with multiple offerings of opco, holdco and super-holdco secured high-yield notes aggregating over $400 million and a $250 million credit facility based on recurring revenue.
- Represented a domestic manufacturer with regard to a $250 million asset-based revolving credit facility and multiple offerings of senior and senior secured high-yield notes aggregating over $1.0 billion.
