Miriam Foley advises clients, including hedge funds, private equity funds and family offices on a variety of domestic and international corporate and financial transactions.
Miriam’s practice focuses primarily on joint ventures and strategic alliances, private equity and hedge fund investments, mergers and acquisitions, royalty monetization transactions and restructurings of for-profit and nonprofit corporations.
Additionally, she counsels clients with respect to commercial lending transactions, private placements of debt and equity securities. Miriam also provides advice with respect to commercial contracts, corporate governance and general corporate matters.
- Advised a hedge fund in its acquisition of a domestic skilled nursing facility platform.
- Represented a biotech company in multiple rounds of financing and the sale of its pharmaceutical product to an NYSE-listed pharmaceutical company.
- Assisted a satellite technology company in the issuance of convertible notes.
- Counseled a life sciences-focused investment fund in multiple credit facilities secured by interests in pharmaceutical portfolio companies and/or royalty and milestone payments.
- Advised a private equity fund in the sale of its portfolio company to an international pharmaceutical company.
