Penelope represents clients in connection with corporate matters, including: public and private mergers and acquisitions, public and private offerings of debt and equity securities, secured and unsecured credit facilities and other lending arrangements, and corporate governance.
Representative Work
- Represented a large chain in the convenience retailing industry in its $21 billion acquisition of more than 3,900 gasoline and convenience stores located in 35 states.
- Represented a public exploration and production company in its underwritten $3 billion senior notes offering.
- Represented a NYSE-listed technology company in the divestiture of a division to a private equity fund.
- Represented a real estate fund management company in its acquisition of more than 35 select-service hotels across 21 states.
