- Advises on tax aspects of complex transactions and investment structures.
Ryan advises a broad base of clients on domestic and international tax matters. He focuses primarily on advising investment managers in connection with the formation, operation and portfolio transactions of private equity funds and hedge funds. He also has extensive experience advising credit-focused investment managers investing in a wide range of credit assets, including direct lending, litigation finance, trade claims, distressed debt, nonperforming loans, debtor-in-possession financing and structured credit.
Ryan also has experience advising corporate clients on mergers and acquisitions, capital markets transactions and financial restructuring matters.
- Advised multiple investment funds on tax issues presented by loan origination and similar transactions, including in connection with the formation and operation of loan “seasoning” structures and treaty-based lending structures designed to accommodate the tax concerns of various investor constituencies.
- Advised investment fund managers on tax issues presented by entering into regulatory capital transaction with foreign banks.
- Advised a fund manager on the formation of three successive specialty lending funds and accompanying institutional managed accounts.
- Advised a U.S. investment manager in connection with tax aspects arising from the formation of three successive opportunistic credit-oriented funds, as well as numerous fund-of-one and side-by-side managed accounts and co-investment vehicles.
- Represented Crestline Investors Inc. in the formation of Crestline Portfolio Financing Fund II, a $1 billion direct lending fund that will provide acquisition financing, growth capital and debt refinancing.
