Biography

  • Advises private equity firms and their portfolio companies on public and private mergers and acquisitions (M&A) transactions, capital markets transactions, recapitalizations and restructurings.
  • Advises investment fund clients in M&A transactions and transformative secondary transactions.

Timothy Clark’s practice focuses on public and private mergers and acquisitions, investment funds and complex corporate transactions. He has extensive experience representing private equity sponsors and portfolio companies in mergers and acquisitions, capital markets, unorthodox restructurings, recapitalizations and transformative strategic transactions as well as fund managers and lead investors in fund secondary transactions (including GP-led fund restructurings) involving direct and indirect dispositions and restructurings of single and multi-asset portfolios. His representations have included clients in the media, insurance, marketing, hedge fund and private equity sectors. Mr. Clark received his J.D. from Brooklyn Law School, magna cum laude, and his B.A. from Harvard University.

Representative Work
  • Advised a publicly traded insurance company in connection with a $3 billion merger of equals.
  • Represented a Bermuda reinsurance company in connection with its formation and initial $500 million capitalization.
  • Counseled a private equity fund in connection with private offerings of preferred equity, warrants and common stock of one of its portfolio companies.
  • Assisted a provider of marketing services and loyalty programs in connection with Rule 144A debt offerings and related exchange offers and/or tender offers for approximately $800 million of senior notes.
