Biography
  • Focuses on domestic and cross-border corporate transactions.

Kelvin advises hedge funds, private equity funds and other investors in an array of UK cross-border investments, acquisitions/disposals and reorganisations. He also has a variety of experience in general corporate advisory and corporate governance matters.

Kelvin completed his training contract with Akin and is an associate on the corporate team in London. As part of his training, Kelvin spent eight months in the firm’s Singapore office.

Representative Work
  • Advised on the potential takeover of an English Premier League football club, including performing due diligence and making recommendations as to the structure of the takeover and the required regulatory approvals. 
  • Advising several asset managers on the establishment of their UK operations, including advising on operational, governance and funding matters, as well as establishing UK qualifying asset holding companies (QAHCs).
  • Advised the ad hoc group of creditors in relation to (i) the comprehensive recapitalisation and financial restructuring of over US$4.4 billion of funded indebtedness and (ii) the distribution of Digicel Group Holding Limited’s assets among existing creditors, each implemented pursuant to a Bermuda scheme of arrangement.
  • Advised Travelex in relation to various issuances of additional Sterling subordinated guaranteed notes stapled to equity, the listing of such additional notes on the Vienna MTF (as operated by the Vienna Stock Exchange) and a subsequent partial buyback of such notes and stapled equity.
  • Assisted with the completion mechanics for an ad hoc group of senior creditors of a formerly Singapore-listed commodities trader with regards to the group’s new financing and debt for equity swap, including parallel schemes of arrangement in the UK and Bermuda and a “light touch” Bermuda provisional liquidation.
  • Advised the ad hoc group of noteholders on the English law aspects relating to the US$7.1 billion restructuring of Valaris Plc.
  • Advised Fairhold Securitisation Limited in connection with the £1 billion restructuring of its distressed securitisation structure.
  • Advised on the English law aspects of a US$1 billion sale of a global logistics provider.
  • Advised Cairn Capital and Mediobanca in a strategic partnership to acquire Bybrook Capital LLP.
  • Advised a private equity fund on its exit from an investment in the Middle East, including assisting with the completion of various local law requirements (including competition, regulatory and customs approvals).
  • Advising on a variety of shareholder and joint venture investments, including the structuring of investment funding and amendments to existing governance procedures.
  • Advised an Asian national oil company in relation to its bid for operating oil and gas production, processing and multicountry pipeline infrastructure assets in Central Asia.
  • Represented Blackpeak (Holdings) Limited, an investigative research firm with offices in Singapore, Hong Kong, the People’s Republic of China, Japan and the United States in the sale of 100% of its business to Acuris, a provider of global data, intelligence, research and analysis.
  • Advised J-Power in relation to its investment in consortium with KHI, Iwatani, Marubeni and AGL with the support of the Australian and Victorian governments in relation to the development of a $500 million hydrogen energy supply chain demonstration project in Australia. The project involves gasifying brown coal, refining the gas to extract hydrogen and then liquefying the hydrogen for export and regasification.
