- Advises established and emerging fund sponsors in the formation, structuring and operation of various private investment vehicles, including traditional private equity buy-out/LBO funds, credit funds, telecommunications and digital infrastructure funds, real estate funds, hedge funds and co-investment funds.
- Previous experience as in-house counsel at a leading fund sponsor helps him recognize and understand the business considerations his clients encounter.
- Routinely advises fund sponsors on upper-tier structuring including carried interest, profit sharing, and other equity incentive structures.
Ryan focuses on investment management matters, with an emphasis on the formation and operation of domestic and offshore private funds, including hedge funds and private equity funds. Prior to rejoining Akin, Ryan served as in-house corporate counsel at Grain Management, a leading digital infrastructure private equity fund. He handled an array of fund matters including providing counsel on fund formation, structuring and term negotiation, as well as advising Grain’s investment, finance, investor relations and operations teams. Additionally, Ryan previously worked as a tax attorney focused on tax structuring for businesses and individuals, which enables him to take a holistic view of fund matters for the firm’s clients.
While obtaining his master of laws in taxation from Georgetown University Law Center, Ryan served as a tax law clerk for the U.S. Senate Committee on Finance. During his time in law school, Ryan worked as a judicial extern for the Honorable Robert E. Bacharach of the 10th Circuit Court of Appeals.
Prior to pursuing his law degrees, Ryan served as a non-commissioned officer in the U.S. Army infantry, including a combat deployment to Afghanistan.
