Vance advises hedge funds, private equity funds and other investors in an array of U.K. and cross-border investments, disposals and acquisitions. He handles mergers and acquisitions and equity offerings and investments. He also has considerable experience in financial restructuring.

Representative Work
  • Advised Travelex in relation to issuance of additional Sterling subordinated guaranteed secured notes stapled to equity. Such additional notes were also admitted to the Vienna MTF (as operated by the Vienna Stock Exchange) following the conclusion of the fundraising.
  • Advised an ad hoc group of senior creditors of Noble, a Singapore listed commodities trader, on the group's new financing and debt for equity swap, involving parallel schemes of arrangement in the United Kingdom and Bermuda, and a "light touch" Bermuda provisional liquidation.
  • Advised the mezzanine consortium headed by Apollo, Cerberus, Park Square Capital and Goldman Sachs in the £2.6 billion restructuring of Britain’s largest betting and gaming group, the Gala Coral group, and the swap of £570 million mezzanine debt for 100 percent equity of Gala Coral.
  • Counseled Tisbury Capital (subsequently incorporated into GLG) in the restructuring of the capital structure of SpinVox Ltd and the subsequent sale of SpinVox to Nuance Communications Inc.
  • Represented the PIK debt consortium headed by Apollo, Avenue, Merrill Lynch, Cyrus Capital, Bluebay, Citibank and Isthithmar on the restructuring of the EMPG educational publishing business and the acquisition of an interest in the EMPG international publishing business.
  • Represented the noteholders of Wind Hellas, a Greek telecommunications operator, on a €3.2 billion debt restructuring via a prepackaged administration sale and on a €1.8 billion mezzanine debt-equity swap.
