Biography
  • Provides tax advice to clients on a broad range of mergers and acquisitions (M&A) and private equity transactional matters with a particular focus on energy transactions.

Julia provides tax advice to clients on a broad range of M&A and private equity transactional matters with a particular focus on energy transactions. She has advised on various structuring aspects of upstream oil and gas asset acquisitions and divestitures, drilling and midstream joint venture transactions and like-kind exchanges.

Julia earned her J.D. magna cum laude from Southern Methodist University Dedman School of Law, where she served as articles editor of SMU Law Review. She was also a member of the Order of the Coif.

Representative Work
  • FireBird Energy LLC, a private Midland Basin operator, in:
    • its sale of assets to certain affiliates of Diamondback Energy, Inc. for $1.6 billion.
    • securing equity commitments in excess of $500 million anchored by funds managed by Quantum Energy Partners.
  • Double Eagle Energy in its strategic partnership with EnCap Investments LP to form Double Eagle Energy Holdings IV and Tumbleweed Royalty IV, new investment entities focused on oil and gas properties and royalty and mineral interests with over $1.7 billion of equity committed.
  • Saxum Energy Partners, a private partnership focused on the acquisition of oil and natural gas minerals, in the final closing of its inaugural partnership, Saxum Energy I LP at its hard cap of $435 million of equity commitments.
  • Represented a portfolio company of a private equity fund in its sale of natural gas processing and pipeline assets to a publicly traded midstream company.
  • Advised a private operating company focused on the midstream sector on a joint development agreement in the Delaware Basin.

Mergers and Acquisitions

  • A private equity firm on its agreement to acquire land grant assets.
  • An energy company in the sale of certain non-core upstream assets to multiple buyers in east Texas, the Anadarko Basin, the northern and central Midland Basin and northern Oklahoma.
  • A gas exploration and production company (a portfolio company of a private equity firm), in its acquisition of upstream and midstream assets via the acquisition of 100 percent of issued and outstanding securities.
  • A provider of general services and infrastructure in the energy sector in the acquisition from, and joint venture with, an oil and gas company relating to oil and gas properties located in Harrison and Panola Counties, TX.
  • A natural oil and gas company in its sale of its Gulf of Mexico offshore and Gulf Coast assets
  • A provider of equipment lease and financing solutions in the sale of the company to a private equity firm.
  • An operator of supermarkets in the sale of the company to a private equity firm.
  • A wholesale grocery distributor in the sale of the company’s wholesale grocery business to a supplier of food and grocery products.
  • A general trading company with a wide range of business activities in its agreement to purchase global Kocide and ManKocide copper fungicide assets.
  • An international commodities trading and logistics company in the sale of its membership interests in the entity which holds its South Texas midstream assets.

Joint Ventures

  • A private equity firm in its drilling agreement to fund the development of oil and gas assets in Pecos County, Texas.
  • An oil and gas producer in its sale of mineral rights in the SCOOP and STACK oil and gas plays and formation of a joint venture with a precious-metals-focused royalty and investment company.
  • A midstream energy company in the 50/50 joint venture with an oil and gas company to acquire a provider of crude oil transportation and engineering services.
  • A private equity firm in its definitive drilling agreement to fund the development of oil and gas assets in Ellis County, Oklahoma.
  • A manufacturer and seller of a variety of natural gas-based chemicals in a joint venture with a manufacturer and supplier of natural gas and other hydrocarbon products to market, distribute and sell nitrogen fertilizers, industrial ammonia and diesel exhaust fluid in North America.
  • A drilling joint venture between a subsidiary of an owner and operator of oil and gas properties and an affiliate of a private equity firm to fund the drilling of up to 150 wells.
  • A platform of a private investment firm in its agreement with the operating subsidiary of an energy company to jointly fund horizontal development of certain of Legacy’s Spraberry, Wolfcamp and Bone Spring rights in the Permian Basin.

Private Equity

  • A venture capital firm, a financial sponsor to a liquids terminaling and logistics company, in the company’s definitive agreement to sell an operator of a crude export terminal and other assets to a midstream assets company that transport hydrocarbons.
  • An investment firm in its investment and commitment to fund up to an additional $45 million in an energy company.
  • A venture capital firm in its acquisition of a surveying, mapping and engineering company.
  • A private equity firm in the acquisition of a 60 percent equity interest in a provider of crystalline silica dust control solutions to the hydraulic fracturing sector of the oil and natural gas industry.
