Representative Matters

  • Advised LetterOne on an agreement to transfer the majority of Wintershall Dea’s non-Russia related upstream business to London-listed Harbour Energy plc, the U.K.’s largest oil & gas producer, for a total consideration of $11.2 billion.
  • Represented Excelsior Energy Capital in the acquisition of and $1.3 billion financing package for the 682.5-megawatt (MW) Faraday Solar project in Utah County, Utah.
  • Advised Saxum Energy Partners, a private partnership focused on the acquisition of oil & natural gas minerals, in the final closing of its inaugural partnership, Saxum Energy I LP at its hard cap of $435 million of equity commitments.
  • Advised Double Eagle Energy in its strategic partnership with EnCap Investments LP to form Double Eagle Energy Holdings IV and another new investment vehicle, oil & gas investment entities with over $1.7 billion of equity committed.
  • Advised Helios Investment Partners on the completion of the sale of Solevo, a leading African distributor of specialty chemicals, to Development Partners International (DPI), and on its majority investment in IXAfrica Data Centre Limited, a leading developer and operator of hyperscale-ready data centers in Kenya.
  • Advised an environmental impact-focused private equity firm on the formation, structuring and negotiation of its second energy fund.
  • Counseled funds managed by Yorktown Partners LLC in connection with the $2.7 billion merger of Indigo Natural Resources LLC, a Yorktown portfolio company, with Southwestern Energy Company.
  • Advised a multibillion-dollar asset management firm in connection with the formation, structuring and negotiation of its third natural resources fund.
  • Advised Edge Natural Resources in the sale of Burnham RNG, a full-service developer and owner of organic waste management and anaerobic digestion biogas assets, to a fund managed by Ares Management.
  • Advising Carlyle on Discover Exploration’s acquisition of exploration, appraisal and development assets offshore the Netherlands, Germany and Denmark and various transactions involving COG Energy.
  • Counseled Alchemist Energy Holdings in connection with a $150 million reserved based lending facility, with an initial borrowing base of $35 million, provided by BOKF, NA, as agent and lead arranger.
  • Advised an investment company specializing in energy transition and decarbonization on the formation, structuring and negotiation of its second renewable energy fund.
